1.  Platform Role & Nature of Service

SIPFLOW is a neutral technology platform that facilitates introductions and connections between beverage suppliers and licensed venues (such as bars, restaurants, and bottle shops).SIPFLOW does not:

  • Sell, purchase, manufacture, or distribute alcohol or beverage products;
  • Act as a licensed vendor, broker, or agent in any transaction between users;
  • Guarantee the success or legality of any deal or communication facilitated through the Platform.

All transactions, communications, and agreements made through the Platform are conducted solely between the respective users. SIPFLOW is not a party to any contract formed through use of the Platform.

2. No Agency or Employment Relationship

Your use of the Platform does not create any employment, agency, joint venture, or partnership relationship between SIPFLOW and any user. SIPFLOW does not direct or control any user’s activities or business terms.

3. User Responsibilities

Each user is solely responsible for:

  • Ensuring they are legally authorized to sell, purchase, or negotiate beverage-related products;
  • Verifying the legitimacy and compliance of other users they engage with;
  • Complying with all applicable licensing, advertising, tax, and product regulations;
  • Exercising due diligence before entering into any agreement or transaction.

SIPFLOW does not verify user credentials or guarantee any aspect of user behavior, product quality, or deal terms.

4. Compliance with Local & International Laws

SIPFLOW is available internationally. However, we make no guarantees that use of the Platform or its content is appropriate or lawful in all jurisdictions. It is your sole responsibility to ensure your use of SIPFLOW complies with all applicable local, national, and international laws — including but not limited to alcohol licensing, import/export controls, and commercial regulations.

‍SIPFLOW disclaims any responsibility or liability for user non-compliance with local legislation.

5. No Warranties

The SIPFLOW Platform is provided“as is” and “as available.” SIPFLOW makes no warranties, express or implied, including but not limited to warranties of:

  • Fitness for a particular purpose;
  • Accuracy or completeness of information;
  • Uninterrupted or error-free access;
  • Suitability or legality of any deals or connections made on the Platform.

SIPFLOW does not guarantee outcomes or business results from use of the Platform.

6. Limitation of Liability

To the maximum extent permitted by law, SIPFLOW shall not be liable for any indirect, incidental, special, a consequential, or punitive damages, including loss of profits, business opportunity, or data, resulting from:

  • Your use or inability to use the platform;
  • Actions or omissions of other users;
  • Any transactions, contracts, or partnerships formed through SIPFLOW.

This applies whether the claim is based in contract, tort, negligence, strict liability, or otherwise.

The Platform may include links to third-party websites or services not operated or controlled by SIPFLOW. These links are provided for user convenience only. SIPFLOW is not responsible for the content, policies, or practices of any third-party website.

8. Dispute Resolution

Any dispute arising from or relating to this Disclaimer or the use of SIPFLOW shall be governed by the laws of the Netherlands, without regard to conflict of law provisions.

Disputes shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

 

9. Changes to This Disclaimer
