Terms & conditions

These Terms and Conditions(“Terms”) govern your use of the SIPFLOW platform, website, and services(collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. SIPFLOW is operated by Sipflow B.V., registered with the Dutch Chamber of Commerce under number 867875082.

1. Platform Purpose

SIPFLOW is a digital B2B platform that facilitates introductions between beverage suppliers and licensed venues (e.g., bars, restaurants, bottle shops). SIPFLOW is not a party to any agreement or transaction conducted between users. The Platform exists to support discovery, communication, and deal facilitation — but not direct commercial execution.

2. Account Eligibility and Responsibilities

To use SIPFLOW, you must:

  • Be a legally registered business entity;
  • Provide truthful, accurate, and complete information when registering;
  • Update your details promptly as needed.

Data Validation

We apply internal data validation and vetting processes to prevent misuse and false registrations. SIPFLOW may request documentation at any time and reserves the right to verify and refuse users manually.

 

3. Ownership of Platform Data

All data within the SIPFLOW platform — including activity logs, communications, analytics, and metadata —is the exclusive property of Sipflow B.V. This includes all anonymized deal metrics and user interactions.

While we do not share specific deal details or user-identifiable information with third parties, we retain full rights to use aggregated platform data for business intelligence, performance tracking, and market reporting.

4. Privacy of Deals Between Users

Deals formed between users(e.g., suppliers and venues) are considered external agreements and are not governed by these Terms. SIPFLOW:

  • Facilitates the connection between users;
  • Provides a standard deal template for convenience;
  • Allows users to add or negotiate additional terms independently.

Users are solely responsible for the negotiation, legal validity, and enforce ability of any agreement. SIPFLOW is not a party to these contracts and accepts no liability for their content, terms, or outcome.

5. Prohibited Conduct

By using the Platform, you agree not to:

  • Submit false or misleading data;
  • Falsely represent your business status or intent;
  • Attempt to bypass verification or manipulate system access;
  • Engage in fraud, coercion, harassment, or unethical business practices;
  • Upload or distribute any unlawful or harmful content.

SIPFLOW monitors for irregularactivity and reserves the right to take action.

6. Fraud, Malicious Use & Platform Enforcement

We take misuse seriously.

SIPFLOW:

  • Maintains a Compliance and Complaints Department;
  • Investigates reports of suspicious, fraudulent, or malicious behavior;
  • May suspend or permanently ban users at our sole discretion;
  • Reports confirmed fraud or abuse to local authorities;
  • Is not liable for damages arising from user misconduct or fraudulent transactions.

7. Complaints Handling

If you have a complaint about another user or experience issues on the platform:

  • Submit the matter through our official complaints process;
  • Our team will review and, if appropriate, investigate;
  • Resolution does not imply SIPFLOW accepts responsibility for private commercial relationships.

8. Suspension and Termination

SIPFLOW reserves the right to:

  • Deny registration to any party;
  • Suspend or terminate any user account at our sole discretion;
  • Modify, limit, or remove platfor features without prior notice.

9. Limitation of Liability

To the maximum extent permitted by law:

  • SIPFLOW accepts no responsibility for the behavior, performance, or business practices of users;
  • SIPFLOW is not liable for any loss, dispute, or damages resulting from deals made between users;
  • SIPFLOW is not responsible for the legal validity or enforceability of any custom terms or modifications users     add to deal agreements.

All use of the platform and the decisions you make through it are at your own risk.

10. Intellectual Property

All content, code, design, and data on SIPFLOW — including platform infrastructure and analytics — is the intellectual property of Sipflow B.V. Unauthorized use, replication, or scraping is strictly prohibited.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any dispute related to the Platform or these Terms will be subject to the exclusive jurisdiction of the courts in Amsterdam, the Netherlands.

12. Amendments

We may update these Terms from time to time. Changes will take effect upon posting. Continued use of the Platform signifies your acceptance of the updated Terms.
