Last updated 1 September 2026
These Terms and Conditions(“Terms”) govern your use of the Sipflow platform, website, and services(collectively, the “Platform”). 1. Platform Purpose
Sipflow is a digital B2B platform that facilitates introductions between beverage suppliers and licensed venues (e.g., bars, restaurants, bottle shops). Sipflow is not a party to the commercial agreements conducted between users. The Platform supports discovery, communication and deal facilitation, and, where users agree a deal through it, provides invoicing and settlement services between the venue and the supplier as described in section 12 (Subscriptions, fees and billing).
2. Account Eligibility and Responsibilities
To use Sipflow, you must:
- Be a legally registered business entity;
- Provide truthful, accurate, and complete information when registering;
- Update your details promptly as needed.
Data Validation
We apply internal data validation and vetting processes to prevent misuse and false registrations. Sipflow may request documentation at any time and reserves the right to verify and refuse users manually.
3. Ownership of Platform Data
You own the data you put on Sipflow: your company details, supplier agreements, uploaded documents, volumes and invoices. Sipflow holds a licence to this data only to the extent needed to run the service.
Platform-generated records such as activity logs, aggregated metrics and metadata are Sipflow's. We do not sell, pass on or disclose contract or deal data; we may use aggregated, anonymised data for business intelligence, performance tracking and market reporting, but not in a way that identifies any specific user, deal or business.
4. Privacy of Deals Between Users
Deals formed between users(e.g., suppliers and venues) are considered external agreements and are not governed by these Terms . Sipflow:
- Facilitates the connection between users;
- Provides a standard deal template for convenience;
- Allows users to add or negotiate additional terms independently.
Users are solely responsible for the negotiation, legal validity, and enforceability of any agreement. Sipflow is not a party to these contracts and accepts no liability for their content, terms, or outcome, except for the invoicing and settlement services Sipflow facilitates on their behalf as described in section 12 (Subscriptions, fees and billing).
5. Prohibited Conduct
By using the Platform, you agree not to:
- Submit false or misleading data;
- Falsely represent your business status or intent;
- Attempt to bypass verification or manipulate system access;
- Engage in fraud, coercion, harassment, or unethical business practices;
- Upload or distribute any unlawful or harmful content.
Sipflow monitors for irregular activity and reserves the right to take action.

7. Complaints Handling
If you have a complaint about another user or experience issues on the platform:
- Submit the matter through our official complaints process;
- Our team will review and, if appropriate, investigate;
- Resolution does not imply Sipflow accepts responsibility for private commercial relationships.

Sipflow reserves the right to:
- Deny registration to any party;

11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Netherlands . Any dispute related to the Platform or these Terms will be subject to the exclusive jurisdiction of the courts in Amsterdam, the Netherlands .
12. Subscriptions, Fees and Billing
This section governs the paid plans, credits and service fees offered through the Platform. Current plan names and prices are set out on the pricing page at sipflow.io/resources/pricing and form part of these Terms by reference.
- Billing cycle: paid plans are billed monthly or annually, as selected at sign-up. Annual plans are charged upfront for the full year.
- Auto-renewal and cancellation: subscriptions renew automatically at the end of each billing period. You may cancel by turning off auto-renewal in your account; your access continues until the end of the paid period, and no partial-period refunds are given on cancellation.
- Upgrades: you may upgrade at any time; the price difference is prorated for the remainder of the current billing period.
- Credits: additional capacity is sold in credit blocks at €4 per block per month on paid plans. Credits do not roll over to the next period.
- Brand service cost: for suppliers and brands, a 2.5% service cost applies per accepted agreement, covering AI tokens, transaction fees and monitoring.
- Brand onboarding: an optional onboarding package is available for brands at €249.95.
- VAT: all prices are exclusive of VAT, which is added at checkout based on your billing country and registration status.
- Invoices: a full invoice is generated after each successful payment and is available in the Billing section of your dashboard.
- Payments and e-invoicing: subscription payments are facilitated through our payment provider, Mollie. Where a deal is agreed between a venue and a supplier on the Platform, Sipflow issues the listing-fee, rebate and retro invoices between the two parties on their behalf.
- Wholesaler data: by connecting a wholesaler, you consent to Sipflow sharing your purchase volumes (not your prices) with that connected wholesaler to track your deals.
- Refunds and disputes: billing disputes are handled through our complaints process (section 7). Refunds, where due, are issued to the original payment method.
13. Amendments
We may update these Terms from time to time. Changes will take effect upon posting. Continued use of the Platform signifies your acceptance of the updated Terms.
14. Data Protection
Sipflow processes personal and business data as described in our Privacy Statement and on our Data Security page (sipflow.io/data-security). Platform data is hosted on Supabase in the AWS Zurich region (eu-central-2), Switzerland, encrypted in transit and at rest and held under row-level security; Sipflow staff have no access to the production database.
A supplier can see your data only where you have an active deal with that supplier, and then only the volumes recorded under that deal and, where the deal provides for it, pricing. You own the data you put on Sipflow. On cancellation your account is archived and deleted automatically after 24 months, and you can request an export or deletion as described on those pages.
